Business Matters

Business is...

simple. Make some stuff and sell it for more than it cost you. There's nothing more to it than that except for a few million details.

- President of International Harvester

An enforceable system of business laws is a prerequisite to a properly functioning market economy. For example, as long as a materials contract is drafted and executed in accordance with the Uniform Commercial Code (UCC), a supplier who sells goods on credit can be confident that the buyer will be held to the agreed payment terms. The buyer can be confident in receiving the quantity, quality and delivery of the goods as agreed to in the contract. Both supplier and buyer know ahead of time that they will be able to enforce the contract if necessary.

Business law deals with the formation of new businesses and the matters that arise as existing businesses interact with their customers, suppliers, vendors, agents, employees and the government. Operating a business requires navigating many legal fields, including contract, intellectual property, real estate, sales, employment, bankruptcy, and others.

Operating a successful business is about making decisions and most decisions will not require the assistance of a lawyer. However, there will be occasions when you need legal advice in order to make an informed decision.

A good lawyer will provide the relevant information and make sure you understand the information provided.

A really good lawyer will also serve as a business advisor, working with you as you incorporate the information being supplied. I have started, operated and sold two businesses as well as purchasing an underperforming business that I got back on track and then sold. When working with clients, I draw on my experience as a former supplier, customer and employer.
